1. Introduction

These Terms and Conditions (“Terms”) govern all services provided by BUIMB Digital and BUIMB Research LLP (collectively referred to as “Company,” “we,” “our,” or “us”). By engaging our services, using our platforms, or entering into any agreement with us, you (“Client,” “you,” or “your”) agree to these Terms.

2. Scope of Services

  • BUIMB Digital offers digital marketing, advertising, branding, SEO, social media marketing, performance marketing, website/app development, and related services.
  • BUIMB Research LLP offers research, consulting, robotics and automation solutions, IT services, HRMS/SaaS products, and business transformation services.

The specific scope, deliverables, and timelines for any project will be outlined in a separate proposal, contract, or service agreement.

3. Client Responsibilities

  • Provide accurate and timely information, materials, and access necessary for service execution.
  • Ensure that all content, data, and assets shared with the Company do not infringe upon third-party rights or laws.
  • Adhere to agreed timelines and cooperate in good faith to enable smooth delivery of services.

4. Payments & Fees

  • All payments must be made according to the terms specified in proposals, invoices, or contracts.
  • Fees once paid are non-refundable, unless explicitly stated in writing.
  • Delayed payments may result in suspension of services, interest charges, or termination of the project.

5. Intellectual Property

  • All deliverables, reports, creative assets, software, and tools remain the property of the Company until full payment is received.
  • Upon full payment, the Client receives ownership or license rights as specified in the service agreement.
  • Redistribution, resale, or modification of deliverables without consent is strictly prohibited.

6. Confidentiality & Data Protection

  • Both parties agree to maintain confidentiality of all sensitive and proprietary information shared.
  • The Company complies with applicable data protection laws.
  • Clients are responsible for safeguarding login credentials and access to any platforms/tools provided.

7. Limitation of Liability

  • The Company shall not be liable for indirect, incidental, or consequential damages, including but not limited to loss of business, profits, or data.
  • Results from digital marketing campaigns, research reports, or SaaS tools are subject to third-party factors and market conditions. No absolute guarantees are provided unless explicitly agreed.
  • The Company’s total liability is limited to the amount paid by the Client for the specific service.

8. Termination

  • Either party may terminate services with written notice of 30 days.
  • The Client remains liable for any outstanding payments up to the termination date.
  • The Company reserves the right to suspend or terminate services in cases of non-payment, misuse of deliverables, or breach of these Terms.

9. Governing Law & Jurisdiction

  • These Terms are governed by the laws of India.
  • Any disputes shall be resolved under the exclusive jurisdiction of the courts located in haldwani India.

10. Amendments

The Company reserves the right to update or modify these Terms at any time. Continued use of our services constitutes acceptance of the updated Terms.
